We provide strategic, financial, and technical advisory services tailored to infrastructure and public-private partnership (PPP) projects.

Commercial Advisor

Sell Side

• Provide focused commercial advisory services and dedicated “in-house” transaction management support to the Unit’s PPP team across all deals from
origination to financial close through to the contract management phase.

• Support and advise on updates to the existing PPP policy and regulations and on policy formation and drafting policy and guidance notes.

• Provide strategy and planning support for the overall program (supported with market insights) including market development, actively engaging with developers, investors and lenders, advice on regional and international trends related to PPP procurement and funding models.

• Support the procurement, appointment and performance and task management of external advisors.

Bid and Transaction Lead

Sell Side & Buy Side

• Lead PPP bid and/or transactions from origination to financial close.

• On sell side, lead on procurement options analysis, market sounding and transaction structuring, prepare all project documentation and submittals, lead on the tendering process and negotiations with preferred bidders and lead the development of risk allocation and transaction structuring, including the drafting of project agreements.

• On buy side, lead on bid strategy, compliance and bid development and submission, manage investment committee interface, appoint, lead and
coordinate with all advisors and technical partners, manage transaction end-to-end.

Financial Advisor

Sell Side & Buy Side

• On sell side, lead on structuring for bankability, supporting financial & economic analysis (including VfM), financial modelling (including developing the
Public Sector Comparator (PSC) and the Shadow Bid Model (SBM).

• Support the procurement formulation and launch, bidder clarifications process, financial evaluation and negotiations with the preferred bidder.

• On buy side, lead on initial financing plan and strategy, market approach (teaser, IM, financial model, indicative financing terms), lender negotiation and onboarding for bid, financial proposal preparation, aligning lender legal/technical/financial/model due diligence to bid requirements, help procure financial model audit, procurer clarifications, bid mark-ups, procurer negotiation, and activities to support commercial and financial close.

Technical Advisor

Sell Side & Buy Side

• Lead all aspects of design and engineering which include preparing the technical studies, technical output specifications, pre-concept masterplan (as relevant), technical sections of the procurement documents.

• Provide technical advice related to the development of the Financial Model, technical output specifications, service KPIs, and payment mechanisms.

• Provide cost and risk advice, develop the cost data books, support the VfM analysis, and provide cost benchmark analysis, value engineering advice, and cost proformas.

• Support the bid clarifications and offer evaluation process, negotiations, and deal closing.
